Basic questions about annual business meeting minutes?

Thіѕ іѕ a small LLC wіth one 98% member/manager, аnd two 1% members.

1. Cаn thе annual meeting bе held over thе phone іn a teleconference? Or mυѕt іt аll bе іn person?
2. Dο аll members hаνе tο sign thе minutes, οr іѕ іt ok іf οnlу thе manager signs іt?

   Do you have any regulations in place with your LLC? If not, you can take a vote about a teleconference and the in-favor vote would win.
   All members do not have to sign the minutes, only the secretary (or whatever you have named the position) signs it. Copies can be mailed out to the members.
   You should also make a notation in the minutes that the quorum (the greater percentage) voted on a teleconference. Make a notation too of all who attended the meeting.
